These terms are an agreement between you and PaperPaid ("PaperPaid", "we", "us") and apply when you create an account or use paperpaid.com and its app (the "Service"). If you use the Service for a business, you accept these terms for that business and confirm you're authorized to do so. If you don't agree, please don't use the Service. Our Privacy Policy explains how we handle information.
If you only received an estimate, contract or invoice from a business through PaperPaid, your agreement is with that business. Only the sections on electronic signatures, acceptable use and disclaimers apply to your use of the document page.
1. Accounts
- You must be at least 18 and use the Service for business purposes.
- Give accurate information and keep it up to date, including your business details shown on documents.
- Keep your login secure. You're responsible for activity in your account, including by anyone you give access to. Tell us at support@paperpaid.com if you suspect unauthorized access.
2. What PaperPaid does, and doesn't do
PaperPaid lets you keep customer records, create and send estimates, contracts and invoices, collect approvals and electronic signatures, record payments, and send reminders. Please note:
- We're not a party to your agreements. Any estimate, contract or invoice is between you and your customer. You're responsible for its contents, pricing, taxes, and for doing the work and collecting payment.
- We don't process payments. Payments happen directly between you and your customer, using the methods you list. Payments you record in PaperPaid are for your bookkeeping only.
- No legal, tax or financial advice. Contract templates and default terms are general starting points, provided as is. They may not suit your situation or meet the laws where you work (for example, contractor licensing, home-improvement contract, lien or cancellation-notice rules). Have them reviewed by a qualified professional.
3. Your content and your customers' information
- You own the content you put into PaperPaid. You give us permission to host, copy, process and display it only as needed to run the Service for you, including sending it to the people you choose.
- You're responsible for having the right to enter and use your customers' information and to contact them, and for complying with the laws that apply to you, including privacy, consumer-protection, anti-spam and debt-collection laws.
- We handle your customers' information on your behalf, as a service provider, as described in our Privacy Policy, and won't use it for our own marketing.
4. Electronic signatures and records
PaperPaid is designed to support electronic signatures under the federal ESIGN Act and state laws based on the Uniform Electronic Transactions Act, including California's. When someone approves an estimate or signs a contract, we record the name entered, the typed or drawn signature, the date and time, the IP address and the browser used. For contracts, we also lock a copy of the document as signed together with a cryptographic fingerprint, and email a PDF copy. A signed contract can't be edited. Changes need a new document.
You are responsible for deciding whether an electronic signature is appropriate for a given document. Some documents legally require a handwritten signature or specific consumer disclosures and consent before electronic records can be used. By signing through PaperPaid, a signer agrees that their electronic signature is the legal equivalent of their handwritten signature for that document.
5. Acceptable use
You agree not to:
- send spam, phishing, or messages to people who haven't done business with you or asked to hear from you;
- impersonate anyone, misrepresent your business, or send fraudulent or misleading documents;
- upload anything unlawful, or anything that infringes others' rights or contains malware;
- try to get around usage limits (such as email sending limits), access other businesses' data, probe or break our security, or overload the Service;
- copy, resell or reverse-engineer the Service, except as the law allows.
We may remove content or suspend accounts that break these rules or put the Service or other people at risk.
6. Fees
PaperPaid is currently offered free as a preview. We may introduce paid plans later. We'll tell you in advance, and we won't charge you unless you choose a paid plan and agree to its price.
7. Third-party services
The Service relies on providers such as hosting, database and email services, listed in our Privacy Policy. Their outages or changes can affect the Service, and we're not responsible for services we don't control.
8. Changes and availability
We're continually improving PaperPaid and may add, change or remove features. We aim to keep the Service available but don't guarantee it will be uninterrupted or error-free. Keep your own copies of important documents (you can download PDFs at any time).
9. Ending your use
You can stop using PaperPaid at any time and ask us to close your account at support@paperpaid.com. We may suspend or end your access if you break these terms, if required by law, or if we discontinue the Service. If we discontinue it, we'll give reasonable notice so you can save your documents. Sections that by their nature should continue (such as ownership, disclaimers, limits of liability and indemnity) survive after your use ends.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that any document, template or signature will be enforceable or right for your situation, or that emails will be delivered.
11. Limitation of liability
To the fullest extent the law allows, PaperPaid won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, even if we were told they were possible. Our total liability for all claims related to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US $100. Some places don't allow these limits, so they may not fully apply to you.
12. Indemnity
You'll defend and indemnify PaperPaid against claims, losses and costs (including reasonable attorneys' fees) arising from your content, your documents and dealings with your customers, or your breach of these terms or the law.
13. Governing law
These terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be handled exclusively in the state or federal courts located in California, and both parties consent to their jurisdiction. Before filing a claim, please contact us at support@paperpaid.com so we can try to resolve it informally.
14. Changes to these terms
We may update these terms. We'll post the new version here with a new effective date and, for significant changes, notify account holders by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated terms.
15. General
These terms and the Privacy Policy are the whole agreement between you and PaperPaid about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Questions?
